Form a corporation, usually filed within 1 business hour
We usually file your Articles of Incorporation within 1 business hour. $99 plus the state fee at cost, EIN included, and an S corp box if you plan to elect.
What we file
We prepare and file your Articles of Incorporation (some states call it a Certificate of Incorporation) usually within 1 business hour of a complete order during business hours. The price is $99 plus your state's corporation filing fee at cost, which runs from $35 in Montana to $743.13 in Nevada.
An EIN from the IRS, the state's filing receipt and your approved Articles by email, and compliance reminders are included (New York and Wisconsin charge $5 for a plain copy or $10 for a certified copy of the Articles, which you pick at checkout).
C corporation or S corporation
Every corporation starts as a C corporation for federal tax. If you plan to be taxed as an S corporation, tick the box in the order form at no extra charge, and we send you the IRS Form 2553 instructions after the state approves your corporation. All shareholders sign Form 2553, and the IRS has a deadline for it, so talk to your accountant early.
What the order form asks for
- The corporation's name, ending in Inc., Corp., Corporation or Incorporated (New York also allows Limited or Ltd.).
- Who will own and run it. We put the right people on the filing, usually the incorporator and, in some states, the first directors.
- The business address.
- A registered agent in the state, except in New York, where the Secretary of State fills that role.
Forming a corporation in New York
New York charges $130 to file a business corporation's Certificate of Incorporation. Most New York corporations use 200 shares with no par value, and the state fee is the same either way. New York corporations don't have to publish a newspaper notice the way LLCs do.
Corporation or LLC?
An LLC is simpler to run: fewer formalities and flexible ownership. A corporation has shares, a board and officers, which suits companies that plan to bring in investors or issue stock. Both can be taxed as an S corporation if they qualify. Our LLC vs S corp guide explains the tax side; an accountant or attorney can help you choose.
